Agreements
Standard agreements from Y Combinator, Common Paper, Bonterms and other publishers, copied word for word.
The Library holds standard agreements that their publishers share for anyone to use: SAFEs, NDAs, services and cloud agreements, data protection and partnership agreements. Each is copied word for word from the publisher's own file, and the only changes are the ones a person filling in the form would make. Each one's page says where the text comes from, under which licence, and what was changed.

The Library groups its standard agreements by what they are for. Each row names its publisher, what it is written for, such as the United States, Delaware or the GDPR, and its licence.
- Fundraising
- Y Combinator's SAFEs and pro rata side letters; the Series Seed term sheet, investment agreement and restated certificate of incorporation.
- Confidentiality
- Mutual NDAs from Common Paper, Bonterms and oneNDA; Papertrail's short NDA, long one-way NDA and employee NDA.
- Services and consulting
- Professional services agreements from Common Paper and Bonterms.
- Software and online services
- Common Paper's cloud service agreement (with or without its service level agreement), terms of service, software license agreement, pilot agreement, design partner agreement and AI addendum; Bonterms' Cloud Terms and service level agreement, and its online cloud terms and end user agreement.
- Data protection and privacy
- Data processing agreements and business associate agreements (HIPAA) from Common Paper and Bonterms.

The publisher's words, checked against the original
Magpie keeps each publisher's original file beside the standard agreement made from it, with a record of every change. Magpie's tests check that each original is the file that was downloaded, and that the agreement's text is the original's words with only the recorded changes applied: every word, in order, is the same. The wording cannot be edited in Agreements.
The recorded changes are the ones a person filling in the form would make: answers in its blanks, the alternatives chosen, its tick boxes, the signatures, names and dates, and leaving out the notes and rows the publisher says to delete.
Where the text comes from
Each standard agreement has a page in the Library that says what it is, who signs it and what it asks, and ends with Where the text comes from. Download a sample PDF, in its More menu, shows a finished agreement before you start one.
- Publisher and version
- The publisher, and the title and version of each file the text was copied from, with a link to the publisher's page.
- Licence
- The licence, in the publisher's own words.
- Changes to the wording
- What was changed from the original.
- Written for
- Where it is meant to be used, and the currency of its amounts.
- Copied into Magpie
- The date the text was copied from the publisher's file.
The licences
Where a licence asks for the publisher to be credited, every copy carries the publisher's licence line: at the foot of each page, or at the end of the text where the publisher put it.
- CC BY 4.0
- Common Paper and most Bonterms agreements. Use and change the text, and keep the publisher's licence line on copies you share.
- CC BY-ND 4.0
- Y Combinator, oneNDA, and Bonterms' marketplace and online terms. Use and share the text, but do not publish a changed version. Y Combinator asks you not to publish a modified SAFE without asking them first, and oneNDA asks that a text with changed terms is not called oneNDA.
- CC0
- Papertrail, Series Seed and Bonterms' example cover pages. No conditions: the publisher gave up its rights.
Changing the wording, and texts that are not signed
Make a copy in Documents, on an agreement's More menu, gives you a Document with the same text, for wording a lawyer asks you to change. Changes in the Document do not change the agreement, and the licence still applies to what you do with the copy.
Some texts are filled in but not signed, such as Common Paper's terms of service and the Series Seed term sheet: download the PDF or make a copy in Documents. Others have nothing to fill in and no one signs them, such as Bonterms' online cloud terms, which a business posts on its website unchanged. Their Library page has Download PDF instead of a start button.
Not legal advice
Magpie fills in the standard text with your answers. It is not legal advice: Magpie is not a law firm, is not acting as your lawyer, and does not check that an agreement suits your situation or can be enforced where you are. Have a lawyer review an agreement before anyone signs it.
