Agreements
Start an agreement from the Library, answer its questions on the agreement's page, and send it for signature through E-Signatures.
Agreements holds standard agreements, such as a SAFE or a mutual NDA, that you fill in with your own facts and send for signature. The Library lists the standard agreements and where each one comes from; see The Library of standard agreements. An agreement is one use of one of them: your answers, the text with your answers filled in, and the signature request made from it.
Agreements belong to Personal or to the selected team. Members with edit access can start, answer, send and delete them; members with view access can read them and download their PDFs.
Magpie fills in the standard text with your answers. It is not legal advice: Magpie is not a law firm, is not acting as your lawyer, and does not check that an agreement suits your situation or can be enforced where you are. You are responsible for your answers and for what you sign. Have a lawyer review an agreement before anyone signs it. The full terms are in Agreements in the Terms of Service.
Start an agreement
Select New agreement, open the category the standard agreement is in, such as Confidentiality for an NDA, choose it and select Start agreement. Or open it in the Library and select its start button, such as Start a SAFE. The agreement opens on its own page.
If you have started the same standard agreement before, your company's answers are filled in from the last one. Otherwise the company name comes from the business name in Invoicing settings, when one is set. Change any of them as you would any other answer.
Answer the questions
The questions are grouped by party, such as the company and the investor, and then the terms; a long agreement groups its terms further, such as Liability or Insurance. A question marked with a red asterisk (*) is required: the agreement can be sent once each one is answered. A question marked (optional) can be left empty. Switches are neither: they always have an answer. Select an answer to change it. It saves when you press Enter or leave it, and the page shows it as it will be printed: an amount typed as 100000 shows as $100,000. The text further down the page fills in as you answer. A question you have not answered shows in the text as its name in brackets, such as [Purchase amount].
Some agreements start with answers already given: the wording the publisher suggests, such as an NDA's purpose, and the boxes the publisher ticks. Change them like any other answer.
- A line of a tick list is a switch. Turned on, the text shows the form's own ticked box, such as
[ x ], in front of that line; turned off, its empty box. - A choice between alternatives prints the alternative you choose, in the form's own words.
- A question that depends on another appears once that one is answered a certain way: the rejection period appears when you turn on the acceptance process, for example.
- A row the publisher says to delete when it does not apply, such as Insurance Minimums, is left out of the text when you turn it off, and its questions are not asked.
The line under the agreement's title says how many required questions are left and names the next one; select its name to go to it. The count can rise as you answer, when an answer brings in a question that depends on it. When a party's email address belongs to one of your contacts, the contact is linked and their name is filled in if it was empty.
Send it for signature
Send for signature sends once every required question is answered, which includes an email address for each party who signs. If you select it before then, nothing is sent: each required question still to answer shows Needed before sending, and the page moves to the first one. When everything is answered, select it and confirm. Magpie freezes the answers and the text, makes a PDF, and opens a signature request in E-Signatures with each party as a signer. Each party gets a signature field on every signature line of theirs, and a Date signed field on every date line of theirs; an agreement with two signature pages, such as a statement of work and its key terms, is signed in both places.
Some texts are not signed: terms a business posts on its website, for example. Their agreements have no Send for signature; download the PDF or make a copy in Documents instead. A text with nothing to fill in is not started at all: download it from its page in the Library.
Check the request in E-Signatures and select Send to signers there. From then on the request works like any other: see Send documents for signature. The agreement's page shows the request's status. Once everyone has signed, Download signed PDF is beside the agreement's title and the certificate is in More.
After sending, the answers and text cannot change. To change something, void the request in E-Signatures, select Duplicate in the agreement's More menu, change the copy and send it.
Download, copy and delete
The agreement's More menu has:
- Download PDF: the text with your answers. Before sending it says Draft at the top of each page.
- Make a copy in Documents: a Document with the same text, to change wording a lawyer asks for. Changes in the Document do not change the agreement.
- Duplicate: a new draft with the same answers.
- Delete agreement: not available while its signature request is waiting to be sent or out for signing. Deleting an agreement leaves its signature request in E-Signatures.
