Company secretaries

Magpie keeps each client company's registers and works out its filing dates. Directors sign written resolutions from an email.

The practice and its staff keep every client company in one Magpie team. Each company has its own registers, resolutions and minutes.

Wrenfield Company Secretarial’s team calendar: its client companies’ board meetings and calls, then the confirmation statements, a notice date, an AGM, annual accounts and a tax return falling due.

This combination of six Magpie areas fits a company secretarial practice.

Company Records
Company Records keeps each client company's registers, resolutions, filing dates and documents.
Contacts
Contacts keeps every director and shareholder once, with the resolutions they signed.
E-Signatures
E-Signatures sends each written resolution to the directors to sign.
Documents
Documents holds the draft minutes for the chair to comment on.
Calendar
Calendar shows every client's filing dates and board meetings to your staff.
Invoicing
Invoicing bills each client's yearly fee on the same date every year.

An allotment goes from the board's written resolution to the register of members.

Your answers to the resolution become the entry in the register.

  1. The resolution

You start the board's resolution from the issue of shares starter. You answer who gets the shares, how many, the class, the price and the date.

  2. The signatures

You choose the directors who sign. Sending it for signature will email each of them a signing link. The text cannot change while it is out.

  3. The adoption

The resolution will be adopted on the day of the last signature. You will be emailed, and the signed copy filed as a Resolution.

  4. The register of members

The issue is prepared on the resolution's page from your answers. You check it and record it in the register.

  5. The share certificate

The issue takes the next certificate number of its class. The certificate prints as a PDF.

  6. The cap table

The cap table shows the new holding from that date. Each director's contact lists the resolution they signed.

Every client company has its own registers, and one list shows all their dates.

Company Records keeps the records of every company your practice looks after. A company's page holds its registration number, registered office, year end and directors. A director who resigns stays on the register of directors.

One list, Coming up, shows every client's dates for the next 90 days. Each line names its company, and what is overdue comes first. The registers and the cap table show one company at a time.

Magpie works out each client's filing dates from its incorporation date and year end.

Magpie does not file anything or pay a fee for you. You file with the registry, then record the day, the fee and the confirmation. The next due date follows from the rule.

United Kingdom
A private limited company starts with the confirmation statement and the annual accounts at Companies House. The Company Tax Return and Corporation Tax payment are there too.
United States
A Delaware corporation starts with the annual report and franchise tax, due on 1 March. Form 1120 is due on the 15th day of the fourth month after its tax year. An LLC can add its state's annual report.
Canada
A federal corporation starts with the annual return to Corporations Canada, 60 days after its anniversary. The T2 return is due six months after its tax year.
Australia
A proprietary company starts with ASIC's annual review fee, two months after its review date. The directors' solvency resolution is due the same day.
Anywhere else
You add each filing by hand, with a rule for its next date. A rule counts from a fixed day, the year end, the anniversary or the last filing.

Each director and shareholder is one contact, with every resolution they signed.

Contacts keeps your clients' directors and shareholders, with their email addresses. A director whose name matches a contact is linked to it. Each resolution then goes to the email on their contact. The contact's page lists every resolution they signed, company by company.

You set a follow-up when something is outstanding, such as a signed stock transfer form. Each one is a To-do with its date and reason. Follow-ups lists them as Overdue, Today and Upcoming.

Wrenfield Company Secretarial’s follow-ups with its clients’ directors and shareholders, grouped as Overdue, Today and Upcoming, each with what is outstanding.

Directors sign each written resolution from an email, and it takes effect with the last signature.

E-Signatures is Magpie's signing area, and Company Records sends each resolution through it. Every director will get an email with a link of their own. They sign without signing in. Each will then get the signed PDF and its certificate of completion.

Magpie's starters cover appointing a director, allotting shares, approving a transfer and changing the registered office. The company's name and registration number are filled in. The starters are standard texts, not legal advice. Each company's articles or bylaws say who must sign.

The chair comments on your draft minutes before you close them.

Documents keeps the minutes, with formatting, comments and named versions. For a board meeting or an AGM, Magpie starts them for you. The draft opens with who was present, the apologies and the resolutions adopted.

You share the draft with the chair to review. They comment and suggest wording, and open only that document. Closing the minutes files them as a PDF, and they no longer change.

Draft minutes of Tidemill Joinery’s board meeting of 20 October 2026, open for review, with the chair’s comment on who was present and his suggested wording for the van leases.

Your staff see every client's filing dates and board meetings on the team calendar.

Calendar is the practice's calendar, shared with your staff. Company Records can put each filing date, contract date and meeting on it. Each event names its company, and will move when its date changes.

Nobody can change these events on the calendar. Your own feed address shows the same dates in Google Calendar or Apple Calendar. It shows titles and dates only.

Magpie invoices each client's yearly fee every year, and bills the registry fees you paid.

Invoicing sends each client company an invoice they can pay by card from the email. A recurring schedule will invoice the yearly fee on the same date each year. Payments reach your own Stripe account, with no Magpie fee.

You record a registry fee paid for a client as a reimbursable expense. It then goes on an invoice you send them. Hours on extra work, such as a share transfer, can go on it too.

Seven more areas cover each client's portal, disbursements, SAFEs, extra hours, files, email and registry logins.

Client Portal
Client Portal gives each client company a private page. The directors you invite see resolutions to sign, invoices and the files you share with them.
Expenses
Expenses records each registry fee you pay for a client, ready for their next invoice.
Agreements
Agreements fills in Y Combinator's SAFE for a startup client. Once it is signed, Company Records offers to record it with its cap and discount.
Time Tracking
Time Tracking records the hours you spend on each client beyond the yearly fee.
Secure Files
Secure Files sends a printed register or a certificate by a link that expires. The link can ask for a passphrase.
Mail
Mail gives the practice mailboxes at its own domain. A shared one such as cosec@ opens for every member.
Password Vault
Password Vault keeps your registry logins encrypted in your browser. A filing can link to the login it is filed with.

Setting up the practice takes six steps.

  1. Make the practice's team

You create the practice's team and invite the staff who keep records. Help: Create and manage a team.

  2. Name your keepers

Company Records opens for you and the keepers you name. You name the staff who look after clients' records. Help: Company Records.

  3. Add each client company

You add its legal name, then fill in its number, incorporation date and year end. A register kept in a spreadsheet can come in with Import JSON. Help: Bring a company's records in by pasting JSON.

  4. Add the standard filings

You set the country and the kind of company. Magpie then offers its standard filings, with their first dates. Help: Filings and renewals.

  5. Put the dates on the calendar

You turn on Show dates on the team Calendar, and make your own feed address. Help: Company Records.

  6. Make each yearly fee recurring

You connect Stripe and send each client's first invoice. Then you make it recurring, every year. Help: Recurring invoices.

Plans

A practice with staff fits the Team plan, one price for 25 member places. A company secretary working alone fits Pro. Both keep as many client companies as you need. The Free plan keeps 1 company.

Directors who sign a resolution are not added to your team. A chair you invite to review minutes joins as a guest. Paid plans have room for 100 guests.

Magpie takes nothing from what your clients pay by card. Stripe's processing fee comes out of each payment.

Other people who look after a company's paperwork have pages of their own.

Consultants

A consultant quotes each engagement, shares an action plan with the client and bills the days.

Questions company secretaries ask

Can I keep all my clients' companies in one place?

Yes. Your practice's team keeps every client company, each with its own registers, filings and documents. The Coming up list shows all their dates, with the company on each line. Filings, resolutions, contracts and documents can be narrowed to one company. On the Free plan, a team keeps 1 company; Pro and the Team plan have no limit.

Which registers does Magpie keep for each company?

Three registers print for each company: members, directors and officers, and transfers and allotments. A stock ledger prints too. Each prints as a PDF as of a date you choose. Every share transaction is recorded once, with its date, and never edited.

Can I record an allotment or a share transfer, with its certificates?

Yes. Each issue takes its class's next certificate number, and the certificate prints as a PDF. A transfer of part of a holding issues a balance certificate for the shares kept. A transfer of more shares than the holder has on that date is refused. A mistake is corrected with Reverse, and the register shows both entries.

Can I bring in a client's register from a spreadsheet?

Import JSON adds a company with its officers, its share issues and transfers, and its filings. Magpie's prompt tells an assistant how to make it from your spreadsheet. A preview lists every record it would make and every problem it found. Nothing is added until every problem is fixed and you choose Import.

Which filing deadlines does Magpie work out?

Magpie has starters for companies in the UK, the US, Canada and Australia. A UK private limited company starts with its confirmation statement, annual accounts and tax return. The starter lists each filing's rule and authority, the usual fee and its official source. You add any other filing by hand, with a rule for its next date.

What do I record once a client's confirmation statement is filed?

Complete records the day it was filed, the fee paid and a note. The filing confirmation is kept with it as proof. The next due date then follows the filing's rule. A statement filed early moves the next date, so you change it on the filing.

Who gets the reminders before a deadline?

Each filing can have an owner from your staff, who gets its reminders. Without one, you and every other admin get them. Reminders will go 90, 30, 14 and 7 days before the due date, and on the day. Another will go every week while it is overdue. A monthly digest can email you and your keepers the next 60 days.

Can I see every resolution a director has signed?

Yes, on their contact's page. A director or shareholder whose name matches a contact is linked to it. Their page lists each adopted resolution they signed, with the company's name. Only the people who can open Company Records see those lines.

Which resolutions can I send directors to sign?

Magpie's starters cover the usual decisions of the board and of the members. They include appointing or removing a director, issuing shares, approving a transfer and declaring a dividend. Changing the registered office or the year end, and approving the annual accounts, are there too. Each starter is a standard text, not legal advice. The company's articles or bylaws say who must sign.

How do directors sign a resolution?

Each director will get an email from you with a link of their own. They open the resolution without signing in, then draw or type their signature. Magpie will make them a free account at that address, unless they have one. You can email anyone who has not signed a new link from the request. Once the last one signs, each signer will get the signed PDF and its certificate.

What changes in the records when a resolution is adopted?

Appointing a director adds them to the register of directors from the day given. A resignation records the day they leave. Changing the registered office or the year end changes the company's page. An allotment, a transfer or an option grant is prepared from your answers. You check it and record it.

Can I write a resolution in my own words?

Yes. Your own text starts the resolution as a Document, written as you like. A starter's text can also become a Document you change freely. The members' written resolution starter takes your own words for its decision. Each is sent for signature the same way.

Can I record a resolution signed on paper or passed at a meeting?

Yes. You record it as adopted, with the day, the meeting and any signed copy. The text will then be fixed, and the signed copy filed as a Resolution. What the starter records, such as a new director, is recorded too.

Can I keep board minutes and AGM minutes?

A meeting can be a board meeting, an AGM or a general meeting. Its page records the place, the day notice was given, who came and who sent apologies. Magpie starts the minutes as a Document listing who was there and the resolutions adopted. Closing the minutes files them as a PDF, and they no longer change.

Can the chair read the draft minutes before they are final?

Yes. You share the minutes with the chair as a reviewer. They comment and suggest wording, and nothing changes until you accept it. They open only that document, as a guest of your team. When the minutes are final, you close them and they are filed.

Can I keep each company's certificate of incorporation and articles?

Yes. Each document is filed against the company, or one of its records such as a filing. The kinds start with certificate of incorporation, articles or bylaws, shareholders' agreement and minutes. A file can be up to 25 MB, and it is encrypted where it is stored. You and the other admins are emailed 30 and 7 days before a document expires.

Can I keep a startup client's SAFEs and option grants?

A SAFE or a convertible note is recorded with its amount, cap and discount. Converting it records the shares it became. Each grant from an option plan's pool has a vesting schedule with a cliff. The Coming up list shows grants reaching their cliff. The fully diluted cap table counts post-money SAFEs as converted at their caps.

Can I keep a client company's contracts and their notice dates?

Yes. Each contract has its term, whether it renews by itself and its notice period. Its last day to give notice is worked out from its end and the notice period. Its owner is reminded 60 and 30 days before that day, and on it. Once you record that notice was given, the contract ends with its term.

Do the filing dates show on our calendars?

Yes. One setting puts every filing date, contract date and meeting on the team calendar. Each event names its company and will move when its date changes. Your own feed address shows the same dates in Google Calendar or Apple Calendar. It shows titles and dates only.

Can I bill each client a yearly fee?

Yes. You send the first invoice and make it recurring every year, on the same date. Each invoice will be emailed with a Pay online button, and the client pays by card. Payments go to your own Stripe account, and Magpie adds no fee. You can pause the schedule, change its lines or end it.

Can I pass a registry fee on to the client?

Yes. You record the fee as an expense, mark it reimbursable and choose the client. It then goes on an invoice you send them, as a line of its own. Issuing the invoice marks the expense billed. The completed filing keeps the fee paid as well.

How are my clients' records kept private?

Company Records opens only for you, the team's other admins and the keepers you name. Other members of the team do not see it. Each file is encrypted where it is stored. Reminder emails contain titles, dates and a link, never amounts, share counts or holders' names.

What can my clients' directors see?

Each resolution reaches them by email to sign. A director you invite to review the minutes opens only that document. A client portal shows them the invoices and files you share with them. Company Records opens only for your admins and keepers, and a keeper sees every client company.

Can a client who keeps their own records in Magpie let me in?

Yes. Their team invites you as a guest with Company Records, and names you a keeper. You then switch to their team from the team selector, where it is marked Guest. A guest takes no place on their plan.
