Company Records
Keep each company's registered details, officers, ownership, resolutions, filings, contracts and documents, with a reminder before each date.
Company Records keeps the records a company has to keep and the dates it has to meet: its registered details and officers, who owns its shares, the resolutions it passed and the meetings it held, its filings and renewals, its contracts, and the documents behind all of them. One team can keep several companies, such as a holding company and the company it owns.
Who can use it
Company Records is open to the team's admins and to the people they name as keepers in Settings, Keepers. Other members of the team do not see it. A guest can be named a keeper once they have been given Company Records as a whole, which suits an outside accountant or lawyer.
Keepers do everything admins do except name keepers, change the settings and move a whole company to Trash.
Companies
Add company asks for the company's legal name and opens its page, where every detail is changed where it is shown: the kind of company, the country, the registration number, the date of incorporation, the financial year end, the currency, the registered and business addresses, tax numbers and notes.
For the team's first company, the page offers the business name, address and tax number already kept in Invoicing. Use these details on invoices writes the company's details back to Invoicing, when you want invoices to show them.
The Free plan keeps 1 company; paid plans keep as many as you need.
Officers
Add officer records a director, secretary or other officer with the day they were appointed. When someone leaves, set the day they left; they stay on the register of officers. Remove is for an officer recorded by mistake. An officer whose name matches a contact is linked to the contact.
Coming up
Coming up lists, across your companies, everything dated in the next 90 days: filings and renewals, the last day to give notice on a contract, contract end and review dates, documents that expire, meetings, and option grants reaching their cliff or full vesting. What is overdue is listed first. Below, each company has a short summary of its officers, shares, SAFEs and open filings.
Reminders, Calendar and the monthly digest
Reminders are emails sent from 09:00 in the team's time zone, which you can change in Settings. A filing or renewal reminds its owner, or every admin when it has none; see Filings and renewals and Contracts for when.
With Monthly digest on, admins and keepers get the next 60 days by email on the first of each month. Emails carry titles, dates and a link; they never contain amounts, share counts or holders' names.
Show dates on the team Calendar puts filing dates, contract dates and meetings on the team Calendar. Change a date in Company Records and the event moves with it; Calendar does not let anyone edit these events. Calendar feed makes your own address for a calendar app such as Google Calendar, with titles and dates only. Anyone with the address can read it, so turn it off or make a new one if it is shared by mistake.
Trash
Companies, contracts, filings, draft resolutions, meetings and documents go to Trash, where they can be restored for 30 days. A company in Trash takes everything under it and sends no reminders until it is restored. Share transactions, option events and adopted resolutions never go to Trash: they are corrected, cancelled or superseded instead.
Standard texts and rules
The resolution starters and the filing starters are standard texts and standard rules, not legal or tax advice. Check a resolution against your articles or bylaws, and each filing date with the authority.
